Terms of Service

You must be at least 18 years old and authorized to conduct business in the United States to register on SmartLogoz. By registering, you represent that you are an authorized representative of the business you are registering, and that all information you provide is accurate.

Registration requires a valid U.S. Employer Identification Number (EIN). By submitting your EIN, you declare under penalty of perjury that it belongs to the business being registered and that you are authorized to bind that business to these Terms.

Fraudulent registrations — including false EINs, false community attribute claims, or impersonation of another business — will result in immediate account termination, and may be reported to applicable authorities.

SmartLogoz allows businesses to self-identify community attributes (e.g., Black-owned, woman-owned, veteran-owned, LGBTQ+-owned). By selecting any attribute, you declare that it authentically represents the ownership identity of the registered business.

SmartLogoz does not independently verify ownership identity claims beyond EIN verification. However, false declarations constitute a material breach of these Terms and may expose you to civil liability and removal from the platform.

SmartLogoz reserves the right to investigate and remove listings where attribute fraud is reasonably suspected.

• Fee: $19.00 USD per year per registered business.
• Free trial: A 30-day free trial begins at registration. You will not be charged until the trial period ends.
• Billing: After the trial, your subscription renews annually. Billing is handled by Stripe.
• Cancellation: You may cancel at any time via your account dashboard. Cancellation takes effect at the end of the current billing period.
• Price changes: We will provide at least 30 days advance notice of any price change via email.

See our Refund Policy for full details. In summary: no refunds are issued after the 30-day free trial ends and payment has been processed, except where required by applicable law.

Subject to your compliance with these Terms, SmartLogoz grants you a limited, non-exclusive, non-transferable license to use the Services for your business. This license does not include the right to:

• Resell, sublicense, or transfer access to the Services.
• Reverse-engineer, decompile, or copy any part of the platform.
• Use automated tools (bots, scrapers) to access or extract data.
• Register businesses on behalf of others without explicit authorization.

You retain all ownership rights to the logo you upload ("Your Logo"). By uploading Your Logo, you grant SmartLogoz a limited, royalty-free license to process it (resize, composite, add badge elements) solely to deliver the Services and display your badge on OurBloc.

You warrant that you own Your Logo or have all necessary rights to use it, and that it does not infringe any third-party intellectual property rights. See our License & IP Policy for details.

The SmartLogoz platform, OurBloc application, community symbol designs, badge framework, and all associated software, designs, and trademarks are the exclusive property of SmartLogoz, LLC. Nothing in these Terms grants you any ownership interest in our intellectual property.

You agree not to:

• Upload logos containing illegal content, hate speech, or content that infringes third-party rights.
• Submit false or misleading business information.
• Attempt to gain unauthorized access to other accounts or platform systems.
• Use the Services to facilitate fraud, money laundering, or any illegal activity.
• Interfere with platform operations or other users' experience.

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or if we determine your listing presents legal or reputational risk to the platform. We will endeavor to provide notice before termination except where immediate action is required to prevent harm.

You may terminate your account at any time. Upon termination, your public listing is removed from OurBloc and your data is handled per our Privacy Policy.

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SMARTLOGOZ DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT SEARCH RESULTS WILL PRODUCE ANY PARTICULAR BUSINESS OUTCOME.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTLOGOZ'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO SMARTLOGOZ IN THE 12 MONTHS PRECEDING THE CLAIM.

SMARTLOGOZ IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You agree to indemnify and hold harmless SmartLogoz, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) false declarations made during registration.

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute shall be resolved by binding arbitration under the American Arbitration Association Commercial Arbitration Rules, seated in Travis County, Texas. Class action waiver: you waive any right to participate in a class action lawsuit or class-wide arbitration.

SmartLogoz provides a review and rating system that allows consumers and registered businesses to leave public feedback. By using the review system, all parties agree to the following:

• Consumer reviews of businesses: Consumers may leave a star rating (1–5) and written review of any registered business. Reviews are public and visible on the business's SmartLogo profile page and in the OurBloc application.
• Business reviews of consumers: Registered businesses may leave a review of a consumer following a verified interaction or transaction. See Section 15 for full details and consumer rights.
• Owner responses: Businesses may submit one written response per consumer review, permanently attached beneath it.
• Prohibited review content: Reviews may not contain discriminatory language referencing race, color, religion, sex, national origin, disability, sexual orientation, age, or any other protected characteristic; threats or harassment; personal identifying information; or demonstrably false factual claims.
• Platform role: SmartLogoz is a neutral platform that hosts review content. We do not pre-screen reviews but will investigate and remove content that violates these Terms upon receipt of a valid dispute. SmartLogoz's liability for review content is limited as provided under 47 U.S.C. § 230.
• Retention: Reviews are retained for 24 months from submission, or until the reviewed account is deleted, whichever comes first.

SmartLogoz operates a mutual review system to build accountability and trust within the community marketplace. This section governs your rights and obligations when reviewing consumers.

• Eligibility: You may only review a consumer following a documented interaction or transaction traceable to a SmartLogoz-connected order, visit, or marketplace event. Reviews without a verified interaction basis are prohibited and will be removed.
• Permitted scope: Consumer reviews may address: respectfulness and conduct during the interaction; accuracy of order information or stated intent; timeliness of pickup, payment, or fulfillment; and overall interaction quality. Reviews may not address physical appearance, personal beliefs, or any protected characteristic.
• Simultaneous reveal: To prevent retaliatory reviews, neither the business nor the consumer can view the other party's review until both have submitted, or until a 14-day review window closes from the date of the first submission — whichever comes first. Once revealed, reviews are permanent.
• Visibility: Consumer ratings are visible to verified SmartLogoz businesses only. They are not publicly listed on any consumer-facing page. Consumer ratings are explicitly not for use in credit, lending, housing, employment, insurance, or any adverse action decision. Any use of consumer review data for such purposes is a material breach of these Terms.
• Consumer rights: Any consumer reviewed through this system has the right to: view all reviews submitted about them; submit one written response per review; dispute any review believed to be discriminatory, retaliatory, or submitted without a verified interaction (see Section 16); and request deletion of their review data per our Privacy Policy.
• Your obligations: By submitting a consumer review, you represent that: the interaction occurred; the review reflects your honest, good-faith assessment; and the content complies with the prohibited content rules in Section 14.

Any party may request removal of a review by submitting a dispute to trust@smartlogoz.com. Grounds for removal include:

• The review contains prohibited content as defined in Section 14.
• The review was submitted without a verified interaction (business-to-consumer reviews only).
• The review contains demonstrably false factual claims that the disputing party can document.
• The review appears retaliatory — submitted immediately after the reviewed party submitted their own review of the submitter.

SmartLogoz will investigate disputes and respond within 10 business days. Our determination is final. We do not adjudicate he-said/she-said disputes over subjective opinions; removal is limited to objective violations of these Terms.

We may update these Terms periodically. Registered users will be notified via email at least 14 days before material changes take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
